Frequently Asked Questions

What is a Certificate of Good Standing?
A Certificate of Good Standing (also called a Certificate of Existence or Certificate of Status depending on the state) is an official document issued by the state confirming that your LLC or corporation is properly registered and has met all required filings and fees. It proves your business is legally authorized to operate.
When do I need a Certificate of Good Standing?
Common situations include: opening a business bank account, applying for a business loan or line of credit, bringing on investors or partners, signing major contracts, registering your business in a new state (foreign qualification), obtaining certain business licenses, and during the sale or acquisition of a business.
How long does it take to get?
Processing time varies by state. Most states issue certificates within 1–5 business days for standard processing. We offer expedited ordering where available. Once the state issues the certificate, we deliver it to your secure portal same day.
How long is a Certificate of Good Standing valid?
Validity varies by who is requesting it. Banks and lenders typically accept certificates issued within the last 30–90 days. Some states issue certificates with explicit expiration dates; others do not. We timestamp your certificate on delivery so you always know when it was issued.
Which states do you cover?
We currently order certificates of good standing in Louisiana, Mississippi, and Alabama. We are expanding to additional states — sign up to be notified when your state is available.
What if my business is not in good standing?
If your business has outstanding fees, overdue annual reports, or other deficiencies, the state will not issue a certificate. We check your standing before ordering and notify you of any issues to resolve. We can also help bring your business back into good standing through our annual report filing and reinstatement services.
Can I use this for foreign qualification in another state?
Yes. When registering your LLC or corporation to do business in a new state (foreign qualification), the new state typically requires a Certificate of Good Standing from your home state dated within 90 days. This service fulfills that requirement.
